AMENDED LICENSE FOR CRYPTO.COM PROFILE PICTURE NFTS (“PFP NFTS”)
Definitions
For the purposes of this Amended License, the following capitalized terms will have the following meanings:
“Art” means the unaltered original art, design, and/or drawings embodied in the underlying Purchased PFP NFT.
“Crypto.com” – shall have the same meaning as provided in the Terms and Conditions (defined below).
“Own” means, with respect to a PFP NFT, a PFP NFT that you have purchased or otherwise rightfully acquired , where proof of such purchase is recorded on the relevant blockchain.
“Purchased PFP NFT” means a PFP NFT minted and/or dropped on the Crypto.com NFT Platform (or any of its associated websites or entities) that you currently Own.
“Third Party IP” means any third party patent rights (including, without limitation, patent applications and disclosures), copyrights, trade secrets, trademarks, know-how or any other intellectual property rights recognized in any country or jurisdiction in the world (whether now known or in the future).
This Amended License seeks to grant holders of a Purchased PFP NFT with limited commercial use rights as set out below. Insofar that this Amended License conflicts with Section 11 of the Crypto.com NFT Platform Terms and Conditions (the “Terms and Conditions”), this Amended License shall prevail. Insofar that this Amended License conflicts with any other provision of the Terms and Conditions, the Terms and Conditions shall prevail.
Commercial Use License to Profile Picture NFT (“PFP NFT”)
Subject to your continued compliance with the Terms and Conditions, these Terms and the restrictions below, you will be granted a limited, worldwide, non-exclusive, non-transferable license to use, copy, and display the Art for your Purchased PFP NFT and for the purpose of creating or commercializing your own physical product(s) as merchandise that includes, contains, or consists of the Art (“Commercial Use”). Examples of such Commercial Use would be, the use of the Art to produce and sell physical merchandise, such as T-Shirts, or displaying copies of the Art. For the avoidance of doubt, nothing in herein above will be deemed to restrict you from:
Owning or operating a marketplace that permits the use and sale of such PFP NFTs generally, provided that the marketplace cryptographically verifies each PFP NFTs owner’s rights to display the Art for their PFP NFT to ensure that only the actual owner can display the Art;
Owning or operating a third party website or application that permits the inclusion, involvement or participation of PFP NFTs generally, provided that the third party website or application cryptographically verifies each PFP NFTs owner’s rights to display the Art for their PFP NFT to ensure that only the actual owner can display the Art;
Earning revenue from any of the foregoing.
Restrictions
You agree that you may not, nor permit any third party to do or attempt to do any of the foregoing without Crypto.com’s express prior written consent in each case:
All approvals and/or consents contained herein must be expressly granted in writing and at Crypto.com’s absolute discretion. Failure by Crypto.com to respond or expressly notify you of disapproval shall not constitute approval or consent.
To the extent that Art associated with your Purchased PFP NFT contains Third Party IP (e.g., licensed intellectual property from a celebrity, athlete, or other public figure or any other third-party rights holder), you understand and agree as follows:
that you will not have the right to use such Third Party IP in any way except as incorporated in the Art, and subject to the license and restrictions contained herein;
that the Commercial Use license above will not apply;
that, depending on the nature of the license granted from the owner of the Third Party IP, Crypto.com may need to pass through additional restrictions on your ability to use the Art; and
to the extent that Crypto.com informs you of such additional restrictions in writing (email is permissible), you will be responsible for complying with all such restrictions from the date that you receive the notice, and that failure to do so will be deemed a breach of this license. The restrictions in this Section will survive the expiration or termination of these Terms.
Other Terms of License
The license granted above applies only to the extent that you continue to Own the applicable Purchased PFP NFT. If at any time you sell, trade, donate, give away, transfer, or otherwise dispose of your Purchased PFP NFT for any reason, the license granted above will immediately expire with respect to that PFP NFT without the requirement of notice, and you will have no further rights in or to the Art for that PFP NFT. If you exceed the scope of the license granted herein without entering into a broader license agreement with or obtaining an exemption from Crypto.com, you acknowledge and agree that:

9. CONTROLS FOR DO-NOT-TRACK FEATURES
Most web browsers and some mobile operating systems and mobile applications include a Do-Not-Track ("DNT") feature or setting you can activate to signal your privacy preference not to have data about your online browsing activities monitored and collected. At this stage no uniform technology standard for recognizing and implementing DNT signals has been finalized. As such, we do not currently respond to DNT browser signals or any other mechanism that automatically communicates your choice not to be tracked online. 10. DO CALIFORNIA RESIDENTS HAVE SPECIFIC PRIVACY RIGHTS?
